We are looking to hire a strong corporate attorney to join our team in our Philadelphia headquarters! The ideal candidate will have experience with formations and mergers.

The firm offers legal expertise in areas such as financial services, insurance defense, commercial litigation, real estate development and zoning, tax, labor and employment law, corporate and transactional matters, corporate governance, estate planning and administration, bankruptcy and creditors’ rights, construction, surety and fidelity, and immigration. They also act as general counsel, national counsel, and regional counsel to many companies and insurance carriers.

We are seeking a Corporate Attorney with experience in business formation, mergers, and acquisitions (M&A) to advise clients on structuring, governance, and transactional matters. This role involves handling entity formation, drafting corporate agreements, leading due diligence, and negotiating M&A transactions.
Key Responsibilities:
Advise clients on entity formation, governance structures, and compliance matters.
Draft and negotiate corporate documents, including operating agreements, shareholder agreements, and bylaws.
Manage M&A transactions, including structuring deals, conducting due diligence, and drafting purchase agreements.
Assist in business reorganizations, joint ventures, and equity transactions.
Negotiate and draft contracts related to financing, partnerships, and strategic alliances.
Ensure regulatory compliance with corporate and securities laws.
Provide risk assessment and counsel on corporate transactions.
Qualifications:
J.D. from an accredited law school and active bar membership in PA.
5+ years of experience in corporate law, M&A, and business formation.
Strong contract negotiation and drafting skills.
Experience advising startups, private companies, and investors.
Knowledge of corporate finance, tax implications, and regulatory compliance.
Ability to manage multiple transactions and work directly with business owners and executives.
